These Terms of Service ("Terms") govern your access to and use of the UpYou mobile application ("App", "Service") provided by Nataliia Maksymiuk ("Nataliia", "we", "us", "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
You must be at least 18 years old to use UpYou. By using the App you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
UpYou is a personal-development tool that lets you create goals, track recurring challenges, schedule local reminders, and view your own progress. The App is offline-first: your goals, challenges, completion history, and settings are stored locally on your device.
UpYou does not require an account and does not transmit your personal data to our servers as part of normal use. If you enable optional features that involve third parties (for example, in-app purchases), those features are governed by the applicable third-party terms (see Section 5).
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on devices that you own or control, solely for your personal, non-commercial use.
You may not:
You retain all rights to the content you create in the App, including goal titles, descriptions, notes, and tracking data ("Your Content"). Because UpYou stores Your Content locally on your device, you are solely responsible for backing it up. Use the App's Import / Export feature to create backups. We are not able to recover Your Content if you delete the App, lose your device, reset your device, or otherwise lose local data.
You agree not to use the App to create, store, or share content that is unlawful, infringing, abusive, harassing, defamatory, obscene, or harmful.
UpYou offers a free tier with limits on the number of active goals and challenges, and a paid UpYou Premium subscription that removes those limits and unlocks additional features (such as the full Achievements dashboard and Data Export & Import).
Premium is offered on a monthly or yearly auto-renewing basis. Prices are shown inside the App at the point of purchase, in your local currency, before you confirm payment. Prices may vary by region and may change from time to time.
Purchases are processed by Apple App Store (on iOS) or Google Play (on Android) and are also subject to their respective terms:
Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel at least 24 hours before the end of the period. You can manage or cancel your subscription at any time in your App Store or Google Play account settings. Uninstalling the App does not cancel your subscription.
All purchases are final. Refunds, where available, are handled by Apple or Google under their policies. We do not process refunds directly.
If you reinstall the App or use a new device signed in to the same App Store or Google Play account, you can use the "Restore purchases" option on the paywall screen to restore an active subscription.
If we offer a free trial or promotional pricing, the trial converts to a paid subscription at the regular price unless you cancel before the trial ends.
The App uses local notifications to deliver reminders that you configure (e.g., daily challenge reminders, goal check-ins). You can enable or disable notifications globally in the App's Settings or in your device's system settings. We do not send push notifications from a remote server.
UpYou is a self-tracking and motivation tool. It is not a medical, mental-health, fitness, financial, or other professional service, and does not replace advice from a qualified professional. Do not use the App to diagnose, treat, cure, or prevent any condition. Always consult a qualified professional before making decisions about your health, finances, or wellbeing.
The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.
To the maximum extent permitted by applicable law, in no event will Nataliia, her affiliates, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the App, even if we have been advised of the possibility of such damages.
To the extent liability cannot be excluded but may be limited, our total aggregate liability arising out of or relating to these Terms or the App will not exceed the greater of (a) the amount you paid us for the App in the twelve (12) months before the event giving rise to the claim, or (b) USD 50.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
You agree to indemnify and hold harmless Nataliia and her affiliates and agents from any claim, demand, loss, or damage (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misuse of the App, or your violation of any law or third-party right.
The App, including its software, design, text, graphics, logos, and other content (other than Your Content), is owned by Nataliia or her licensors and is protected by copyright, trademark, and other intellectual-property laws. Nothing in these Terms grants you any right to use the "UpYou" name, logo, or trademarks without our prior written permission.
The App integrates third-party services to provide some functionality, including:
Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.
You may stop using the App at any time by uninstalling it. We may suspend or terminate your access to the App, in whole or in part, at any time and for any reason, including if we reasonably believe you have violated these Terms. Sections that by their nature should survive termination (including 4, 7, 8, 9, 10, 13, and 14) will survive.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you in the App. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the App will be brought exclusively in the courts of England and Wales, except that we may seek injunctive relief in any competent court.
If you are a consumer resident in the European Union or United Kingdom, nothing in these Terms affects mandatory consumer-protection rights you have under the law of your country of residence.

If you obtained the App from Google Play, your use is also subject to the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the App.
